BT Group acquires TalkTalk and PlatformX out of administration, protecting 2.5 million UK customers and 900 jobs, with a £400m total cash impact

BT Group has purchased TalkTalk and PlatformX out of administration on a debt-free basis, ensuring service continuity for 2.5 million customers across the UK.

The transaction is subject to a regulatory review over the coming weeks, during which time the acquired brands will continue operating independently and competing in the market.

Over the past 12 months, TalkTalk recorded approximately £1.2bn (US$1.59bn) in revenue, though the business remained loss-making throughout that period.

Cost breakdown and broader financial outlook

For the FY27 period, BT will report the acquired businesses as a separate segment, with an estimated total cash impact of around £400m (US$529m).

This figure encompasses consideration, transaction and administration costs, working capital impacts and a trading loss of approximately £60m (US$79.4m) for the remainder of the fiscal year. It also accounts for the non-receipt of around £100m (US$132m) that would otherwise have been owed to Openreach.

Excluding this transaction, BT reconfirmed its multi-year financial outlook metrics and its normalising free cash flow inflection to approximately £2.0bn (US$2.65bn) in FY27.

Management expects the acquisition to become value accretive as the business is stabilised and synergies are realised within the wider corporate group.

Allison on customer continuity and national importance

Discussing the acquisition, BT Group CEO Allison Kirkby says: "BT has stepped in to acquire TalkTalk and PlatformX Communications.

"We did this deal to provide reassurance and to maintain service for 2.5 million residential, business and wholesale customers across the UK. This includes vulnerable households and critical national infrastructure providers across health, emergency services, defence, education, transport, banking and government."

She adds: "This is a genuinely unprecedented situation, where millions of citizens and businesses were at risk if TalkTalk had collapsed.

"Over a period of time, the transaction will create value for all our stakeholders – customers, colleagues, the country and our owners."

While broadband comparison site Uswitch tells customers they don't need to take any action currently regarding their broadband contracts, communications regulator Ofcom says customers should have the right to leave a contract without an exit fee, should a new owner put prices up beyond what was agreed in the original contract.

Leadership moves to drive integration

Clive Selley CBE will immediately lead stabilisation and integration planning for the newly acquired assets.

Martijn Blanken will take on Clive's previous responsibilities as CEO of BT International and will also serve as CEO-Designate for BT's proposed international joint venture with Verizon.

Administrators confirm 900 jobs protected via TUPE

Andrea Jakes, Jonny Marston and Richard Fleming of Alvarez & Marsal Europe LLP were appointed as joint administrators for TalkTalk. According to a statement from the firm, all TalkTalk and Platform X employees have transferred to BT via TUPE.

"We are pleased to have secured the future of the TalkTalk and PXC businesses, safeguarding approximately 900 jobs and ensuring continuity of service for more than 2.4 million customers," says Andrea Jakes, Joint Administrator and Managing Director of Alvarez and Marsal.

"TalkTalk and PXC are important businesses within the UK's connectivity market... The transaction gives them a sustainable financial footing under new ownership."
